ADUs BY JACK provides consulting and design services related to Accessory Dwelling Units (ADUs) and other types of construction projects. Our services may include but are not limited to:

• Project consulting, management and owner’s representative services  
• Site visits, ADU site evaluation, feasibility studies and property surveys
• Architectural design, elevation and floor plan creation
• Assist with permitting, inspections and code compliance 
• Project meetings, planning and budgeting
• 3D rendering and visual presentations
• Contractor referrals and recommendations

Please note, our services do not include actual construction, which is a separate service provided by licensed contractors. While we offer licensed contractor referrals as part of our service, clients are under no obligation and may choose to either hire a contractor from our list of referred professionals or select their own contractor to carry out the construction work. And we always encourage all clients to perform their own due diligence in evaluating any contractor’s qualifications, experience, and suitability for the project. Kindly be advised that we hold no responsibility for any contractor you choose to hire, whether from our recommendations or one you select on your own. Any issues concerning their pricing, change orders, work quality, reliability, or project completion timelines are solely managed between you and the contractor, and we are not liable for their services, results or outcome.

3. Eligibility

You must be at least 18 years old to use this website and engage in any services offered. By using this website, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a contract.

4. Client Responsibilities

By engaging with our services, you agree to:

• Provide accurate, complete, and timely information related to your property and project.
• Cooperate with our team in scheduling meetings, site visits, and other project-related activities.
• Ensure that all approvals and permits required for the construction of an ADU or other types of construction projects are obtained (we can assist in this process, but the ultimate responsibility lies with you).
• Notify us of any changes to the project scope, requirements, or schedule in a timely manner.

5. Consultation Fees and Payment Terms

• Initial consultations may be offered for free or for a nominal fee, depending on the project’s scope. This will be clarified during the first communication.
• Fees for design and consulting services will be quoted based on the scope of work agreed upon and provided in a formal agreement.

• Payments and due dates are typically structured in milestones as specified in the formal agreement or contract. 
• Payment methods accepted will be specified in the contract or submitted invoice.
• Invoices will be sent electronically and must be paid as specified in the invoice, formal agreement or contract, unless otherwise agreed upon in writing.

6. Quotes and Estimates

• Any verbal or written quotes or estimates provided for design or consulting services are preliminary and subject to change. Final pricing will be confirmed once the scope of work has been fully defined.
• A formal written contract will outline the full scope of work, timelines, deliverables, and final pricing.

7. Intellectual Property

• All designs, plans, renderings, bids, proposals and other materials created and provided by ADUs BY JACK are our intellectual property. You are granted a non-exclusive, non-transferable license to use these materials solely for the purpose of your ADU or construction project.
• You may not reproduce, distribute, modify or share any designs or other materials created and provided by ADUs BY JACK without prior written permission.

8. Confidentiality

We respect your privacy. Any information shared with us during the consultation or design process will be kept confidential and will not be shared with third parties, except as required by law or as necessary to fulfill the project (e.g., sharing with contractors or permit authorities).

9. Project Delays

We make every effort to adhere to timelines, but delays may occur due to reasons beyond our control, such as:

• Delays in permit approvals
• Unforeseen changes in project scope
• Inclement weather or other external factors
• Delays from third-party vendors or contractors

If delays occur, we will notify you promptly and work with you to adjust expectations and timelines.

10. Termination of Services

We reserve the right to terminate or suspend access to our website and services if you violate these Terms and Conditions or if we decide to discontinue offering our services.

Either party may terminate the agreement at any time by providing written notice. Upon termination:

• You will be invoiced for any work completed up to that point, and all unpaid balances will become due immediately.
• We reserve the right to terminate services if there is non-payment, non-cooperation, or if you breach any terms of the agreement.

11. Limitation of Liability

ADUs BY JACK, its parent company, its officers, shareholders, its employees, contractors, and agents are not responsible for any indirect, incidental, or consequential damages resulting from your use of our consulting and design services. Our total liability for any claim related to the services provided is limited to the amount you have paid for the specific service giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ADUs BY JACK, its parent company, its officers, shareholders, its employees, contractors, and agents from any claims, damages, or expenses arising out of your use of our services, or your violation of these Terms and Conditions.

13. No Guarantees

While we provide expert design and consultation services, we cannot guarantee that your ADU or construction project will be approved by local authorities or achieve the desired outcomes due to factors beyond our control (e.g., zoning restrictions, building code compliance, budget constraints). Additionally, there may be unforeseen costs, such as requirements for surveys, soil testing, septic tank upgrades, and other regulatory requirements. Also, any verbal or written quotes or estimates provided for construction costs are preliminary and subject to change, with final pricing confirmed once the full scope of work is defined and agreed upon.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms will be resolved in the courts of Los Angeles, California.

15. Dispute Resolution

In the event of a dispute, you agree to attempt to resolve the matter through informal negotiation. If the dispute cannot be resolved informally, you agree to resolve it through binding arbitration, conducted in Los Angeles, California, and under the rules of an arbitrator chosen by ADUs BY JACK.
